Message:

  Member Don Peterson asked me to clarify the rules for Proxy Voting for the
Club in the event you may not be able to attend the special meeting (date
yet to be determined - but most likely the U.S. National Aerobatic
Championships in September 2002)where the by-law amendment proposal to
change the organization name will be voted on.  The rules are stated below.

Proxy Voting Rules (By-Law Article VI Membership, Section VII Voting, Part 5
Proxy Voting)

1.  Each member in good standing shall be entitled to one vote at each
membership meeting, such vote to be cast in person or by proxy.
2.  Members may vote by proxy only on By-law Amendments.
3.  Family memberships shall designate one voting member to cast its proxy
vote.
4.  The Board shall make proxy forms available with the notice of the
meeting.
5.  Each proxy must state the specific issue (by-law amendment) for which
the proxy is granted and clearly designate how the member wishes his/her
proxy to be voted on the issue.
6.  The Board shall designate the person (proxy official) who shall vote the
proxy, and it shall be voted by that person in the manner specified by the
member.
7.  All proxies must be in writing on the form provided or in the official
format approved by the Board, signed by the member, received and registered
by the designated election official prior to the day of the meeting.
8.  All votes cast, including those by the designated election official who
is authorized to cast proxy votes, shall be made orally or visually unless a
majority of members present and eligible to vote determine that the vote
shall be in writing.
9.  A proxy received by facsimile, e-mail or other written communication may
be accepted if the election official is satisfied that it is genuine.
10.  Proxies shall be limited to one meeting only, and shall automatically
expire at the end of the meeting.
11.  For the purpose of voting on By-law amendments, a quorum shall be
constituted by the total of members present who are in good standing plus
all genuine proxies submitted to the authorized election official.
12.  A 2/3 majority of the members present in person and by proxy is
required for passage of By-law amendments.

Lisa,

Would you mind clarifying the proxy process?  Assuming that our busy lives
won't
allow us to attend the special meeting, may we vote by proxy assignment to
any
person, or only to people designated by the president?  Also, if we vote
"no"
and give our vote to the president, must it be counted as a "no" vote or
does
the president have the authority to present only certain of the proxies
designated to him?  I know there was some discussion on this a while back
pertinent to other issues, and I've lost track with how we handle proxy
voting
now.
